The successful candidate will play a pivotal role in managing the technology due diligence process for mergers, acquisitions, and other corporate transactions, leveraging cutting‑edge AI tools to do so. This position is ideal for a detail‑oriented professional with a passion for innovation, a strong understanding of technology law, and a desire to contribute to a dynamic, high‑performing team.Major ResponsibilitiesManage the technology due diligence process for mergers and acquisitions and other corporate transactionsConduct technology due diligence using AI technology and prepare any riders to due diligence reportsReview disclosure schedulesIn close collaboration with the Technology Department, review and address technology issues in transaction documentsAssist in the assessment of licensing structures and commercialization considerations in the context of transactionsPrepare, draft, and negotiate software assignment, domain name assignment, and other commercial agreements ancillary to corporate transactions as requiredAssist with developing and implementing technology process playbooks to support due diligence and other processes in connection with transactionsSupport the Technology Department with the negotiation and drafting of transition services agreements as requiredPosition Requirements Education and ExperienceThe position requires at least one to three years of post‑call experience as a practicing lawyer at a national law firm. Prior experience in M&A and technology transactions is an asset.
