The Director, Legal & Compliance is responsible for managing all legal, regulatory, and compliance matters across the company’s growing network of medical aesthetic clinics throughout Canada. As the organization’s principal in‑house legal advisor, the Director supports strategic growth through acquisitions, partnerships, and commercial agreements while ensuring compliance with healthcare, corporate, and privacy regulations. This position requires a strong understanding of the Québec and Canadian regulatory landscape and the ability to provide pragmatic, business‑oriented legal guidance. The successful candidate will be fully bilingual in English and French, a member in good standing of the Barreau du Québec, and comfortable operating in a fast‑paced, entrepreneurial environment. Key Responsibilities Mergers & Acquisitions Lead and manage all legal aspects of clinic acquisitions and integrations, including due diligence, transaction structuring, drafting, negotiation, and closing of purchase and related agreements. Collaborate with Finance, Operations, HR, and Integration teams to ensure efficient and compliant execution of transactions. Support post‑acquisition integration and harmonization of legal and compliance frameworks across entities. Contract Management Draft, review, and negotiate a wide variety of agreements, including: Professional services agreements with physicians, nurses, and specialists Vendor, supplier, and marketing contracts Lease and partnership agreements Develop standardized templates, processes, and approval frameworks to improve efficiency and reduce risk. Provide practical, business‑focused legal advice to internal stakeholders. Regulatory & Compliance Oversight Ensure compliance with all applicable federal and provincial laws, including: Health professions acts and professional College regulations (e.g., CMQ, OIIQ, CPSO) Privacy and data protection laws (e.g., PIPEDA, PHIPA, and Québec’s Law 25) Advertising and consumer protection requirements for medical aesthetic services Employment and occupational health & safety legislation Develop, implement, and maintain internal compliance programs, policies, and staff training. Conduct or oversee internal compliance audits and manage responses to regulatory inquiries or investigations. Governance & Risk Management Identify and mitigate legal and regulatory risks across the organization. Maintain effective compliance policies and procedures to support ethical operations. Advise management on day‑to‑day operational and transactional legal matters. Ensure proper documentation, reporting, and corporate recordkeeping practices. External Counsel & Stakeholder Management Manage relationships with external legal counsel to ensure efficient and cost‑effective use of external resources. Liaise with professional Colleges, privacy commissioners, and other regulatory authorities as needed. Support collaboration with insurers, auditors, and government agencies on legal and compliance issues. Qualifications Education: LL.B. or J.D. degree from a recognized Canadian law faculty. Professional Standing: Member in good standing of the Barreau du Québec (mandatory). Experience: Minimum 5 years of relevant legal experience, preferably including in‑house or law firm experience in healthcare, corporate/commercial, or M&A law. Proven experience drafting and negotiating complex agreements and advising on compliance in regulated sectors. Strong understanding of Canadian and Québec health law, privacy legislation, and professional regulatory frameworks. Excellent drafting, negotiation, and communication skills in both English and French (oral and written) as you will be required to collaborate with all our locations based in Canada.
