Position Overview Reporting to the Executive Vice President and General Counsel, the Corporate Secretary will provide strategic leadership across corporate governance, compliance, and Board operations for CDEV and several of its subsidiaries. This role serves as a trusted advisor to the Board of Directors, Board Committees, and senior management, ensuring governance frameworks and legal practices align with Crown corporation accountability requirements while supporting commercial effectiveness and value creation. The position functions as a key liaison between the Board, CEO, and management team. This position is located in either Toronto or Ottawa, currently with a hybrid work option. Responsibilities Corporate Governance & Corporate Secretariat Lead and implement corporate governance best practices for CDEV and its subsidiaries to support effective stewardship and value creation. Serve as Corporate Secretary to the CDEV Board of Directors and its Committees. Provide oversight of the corporate secretariat function, including for multiple CDEV portfolio companies. Organise and attend Board and Committee meetings, develop agendas, prepare and present meeting materials, and oversee the preparation of minutes and resolutions. Maintain Board and Committee Charters and Workplans. Manage and oversee policies and compliance frameworks. Oversee the maintenance of corporate records to ensure compliance with statutory, regulatory, and public‑sector requirements. Support director recruitment, onboarding and education activities. Ensure effective oversight of subsidiaries, including supporting director evaluation processes and ensuring Board and committee composition in line with skill requirements. Compliance Oversight Establish and oversee compliance and ethics frameworks. Interpret and apply applicable laws and regulations relevant to CDEV and its subsidiaries. Monitor regulatory developments and advise on legal, compliance, and reputational risk mitigation. Advise on legal and risk considerations related to procurement, supplier arrangements, and key commercial activities. Support reporting and disclosure obligations including responses to Parliamentary Questions. Key Skills and Attributes Education Bachelor of Laws (LL.B.) or Juris Doctor (J.D.) from a recognised Canadian law school or equivalent international qualification recognised in Canada. Membership in good standing with a provincial or territorial law society and entitled to practice law in Canada. Successful completion of bar admission requirements (including articling or law practice program). Additional education or certification in corporate governance, public administration, or finance is considered an asset. Legal and Governance Experience Minimum of 8 years of relevant legal experience, with significant focus on governance, corporate law and regulatory compliance. Strong understanding of corporate commercial law. Familiarity with or knowledge of Crown Corporations is an asset.
