Job Overview Toromont is seeking a Legal Counsel who will be an active contributor to Toromont’s Legal Team, providing strategic legal, regulatory and compliance advice across public company, corporate/commercial, M&A and governance matters.ResponsibilitiesProvide corporate/commercial legal support including employment and operational issues, acquisitions, financings, regulatory and other key matters that impact Toromont’s many lines of business.Review, negotiate and draft a substantial amount of commercial contracts, including procurement, supply, services, real estate, sales and vendor agreements.Coordinate and assist in due diligence processes, public company filings, and claims management support and resolution.Strategically identify key legal and business risks while providing pragmatic solutions and efficient, invaluable legal advice to the business.QualificationsApproximately 2–4 years of legal experience with a background in corporate/commercial, securities law and/or M&A.Exposure to large public company work, ideally in manufacturing, construction, mining or similar industrial sectors.In good standing and able to practice law in Ontario and/or Quebec.Excellent interpersonal and relationship‑building skills; experience working in a dynamic Legal Team within a fast‑paced, high‑volume environment.Ability to work independently and effectively collaborate with a seasoned Legal Team, proactively prioritizing and delivering results.EEO and Diversity At Toromont, we recognize that diverse capabilities, experiences and perspectives enable greater organizational leadership, strength and performance and create a more stimulating and rewarding work experience.
