This role partners closely with Sales, Operations, and leadership to support deal execution while protecting the company’s legal and commercial interests.As a trusted advisor to the business, you will take ownership of contract strategy and risk decisions, ensuring alignment with company objectives while navigating complex, multi-jurisdictional requirements.What You’ll DoLead the review, drafting, and negotiation of technology company sales contracts, including:Master Services Agreements (MSAs)SaaS and software licensing agreementsCustomer sales agreementsReseller and partner agreementsProfessional services and managed services agreementsDetermine and own the company’s legal position on contract terms, balancing risk and commercial prioritiesProvide strategic legal guidance to Sales, Deal Desk, and business stakeholders to support efficient deal executionDevelop a deep understanding of Messagepoint’s products, services, and business operations to inform legal adviceIdentify, assess, and mitigate legal and regulatory risks, including those related to data privacy (PII, PHI)Support and lead contract negotiations with customers across Canada and the U.S.Collaborate with external counsel as needed for jurisdiction-specific or specialized mattersContribute to the development of contract templates, playbooks, and negotiation strategiesEnsure compliance with applicable laws, regulations, and internal policiesWhat You BringLaw degree (LL.B. or J.D.) and membership in good standing with a relevant barStrong experience reviewing and negotiating commercial contracts in a SaaS or technology companyDeep understanding of contract law, risk allocation, and negotiation strategyProven ability to make sound legal decisions and advise on company positionsExperience with:SaaS/software agreementsProfessional services and managed services contractsReseller and partner agreementsStrong negotiation and stakeholder management skillsKnowledge of data privacy frameworks, including handling of PII and PHIExperience working with customers across multiple jurisdictions (Canada, U.S).Experience working with customers across Europe is an asset.Exceptional attention to detail, judgment, and problem-solving skillsNice to HaveExperience in a high-growth SaaS or B2B technology companyFamiliarity with international data protection and regulatory frameworksExperience supporting or partnering with Sales/Deal Desk functionsExposure to contract lifecycle management (CLM) toolsHow We WorkWorkplace:Hybrid model with 1 or 2 days in the office, 3 or 4 days remote flexibilityMessagepoint is an Equal Opportunity Employer and encourages diversity and inclusion in the workplace.We thank all applicants for their interest; however, only those selected for an interview will be contacted.#J-18808-Ljbffr
