Job Overview As part of Invictus’ Advisory team, this is an exciting opportunity to lead and deliver corporate secretarial and governance services for a diverse client base (mining, technology, agriculture, forestry, manufacturing, First Nations, et al). The Corporate Secretary is a senior leader responsible for creating value through (i) overseeing a team in the delivery of high-quality corporate governance, regulatory compliance, and transactional support services, (ii) providing quality assurance over legal and corporate filings and documentation, and (iii) directly supporting complex matters such as financings, board and shareholder processes, stock exchange compliance, and private placements, including related administrative activities. We are a ‘low ego’ organization, and we roll up our sleeves to help each other get the work done. We also believe in sharing work rather than delegating work (something we can explain more in an interview). Key Accountabilities and Responsibilities Management Responsibility: Responsible for managing corporate records, governance processes, and regulatory compliance for a portfolio of clients, including supporting financings, equity administration, board and shareholder activities, and stock exchange reporting. The specific responsibilities include: Support equity financings (private placements and prospectus-level), including rolling forward subscription agreements, managing closing documentation, and drafting Reports of Exempt Distribution, Treasury Orders, and warrant certificates Administer share-based compensation programs, including drafting option, RSU, and DSU awards; processing exercises (warrants, options, RSUs); handling re-registrations; and maintaining equity tracking workbooks Assist with monthly equity grant reporting and ensure accuracy of issued and outstanding securities records Ensure compliance with stock exchange requirements (CSE, TSXV), including drafting and coordinating transaction filings and managing Personal Information Forms (PIFs) Prepare and file SEDI insider reports for officers and directors Maintain corporate minute books and statutory records; draft resolutions, meeting minutes, and documentation for changes to directors and officers in compliance with corporate legislation Support planning and execution of Annual General Meetings (AGMs) and special meetings, including drafting meeting materials and coordinating logistics Develop and maintain annual client calendars, including scheduling board and audit committee meetings, AGMs, equity vesting (RSUs/DSUs), regulatory filings, and news releases Service Orientation: Establishes professional relationships with client personnel, building trust in our advisory capacity with them. Maintains a strong service orientation, ensuring open and effective communication with clients. As part of client engagements, provides value-added, practical and pragmatic recommendations and improvement strategies. Quality Assurance: Sets high standards and ensures ongoing quality review of manager/staff work. Provides feedback to team members to support and encourage high quality standards on all engagements. Staff Management & Development: Supports managers with coaching and mentoring in the areas of work quality, judgement and leadership, championing good to better to best practices. The Corporate Secretary will also facilitate and guide the team-based office culture, promoting open and transparent communication with all team members. Education and Professional Skillset Requirements Experience: Minimum three years of progressively responsible experience as a corporate secretary or paralegal. Education: A relevant post-secondary degree or diploma required. Related designation as a law clerk or paralegal. Technical Expertise: Expertise in drafting documentation to comply with legal standards, and a thorough understanding of public company regulatory requirements. Technical & Computer Skills: Advanced proficiency in Microsoft Office, including strong working knowledge of Outlook (calendar management), Teams calendars, and Teams meeting coordination; experience using DocuSign, including advanced features for managing and tracking documents requiring multiple signatures; proficiency with Adobe Acrobat, including document editing functions such as page merging and compilation; and a demonstrated willingness to adopt and learn new technologies, including the firm’s AI tools designed to streamline and automate corporate secretary document preparation. Project Management: Outstanding project management experience and skills combined with an ability to work effectively with staff and clients.
