Sedgman is expanding its presence across the Americas, and we are seeking an experienced Senior Legal Counsel North America to support our growing Mining & Minerals business. Based in Vancouver, BC, the ideal incumbent will have experience in engineering and the construction industry, preferably in the mining sector, and will have a strong understanding of the concepts and potential risks associated with feasibility studies, detailed design and through to project delivery. We require demonstrated experience in providing accurate, commercial and timely legal advice to the business to ensure legal/contractual risks are appropriately managed and the development, implementation and monitoring of appropriate risk management strategies are implemented in accordance with our commercial limits. This includes assisting with day‑to‑day management of the legal function and compliance with reporting requirements and corporate governance policies. Responsibilities Act as the primary legal contact on North American projects/contracts for the N.A. offices and regions. Provide high‑quality and practical advice on engineering and construction law matters to assist the business in critical decision‑making. Deliver timely advice and guidance to the business on day‑to‑day legal matters. Review head contract conditions and subcontract qualifications, advising on issues to ensure corporate compliance. Negotiate/draft contract amendments and close out of head contracts and subcontracts. Sign off on compliance of contracts in line with Sedgman risk‑management policy prior to execution. Roll out Sedgman training on contract fundamentals. Develop appropriate responses to issues arising under contracts during construction/operational phases, with particular focus on early dispute resolution. Conform subcontract suite with individual head contracts and issue to project procurement team. Manage company‑secretary activities for the North American entities and compliance (e.g., Fighting Against Forced Labour and Child Labour in Supply Chains reporting). Assist General Counsel and Company Secretary with ad‑hoc legal and governance requirements. Mentor legal counsel and law clerks. Qualifications Bachelor of Law degree and be a member of a Bar for at least 8 years. Minimum of 4 years’ experience working for an Engineering/Consulting/EPC/M firm in engineering and/or construction law. Experience in construction, commercial and contract law, including negotiating and drafting of EPCM and/or EPC contracts is essential. Excellent communication, negotiation and presentation skills, with the ability to simplify complex legal concepts, influence senior stakeholders, and lead effective conflict resolution. Mining industry knowledge is an asset, with experience in construction/engineering, partnerships (joint ventures/alliances) and major projects (alternative delivery such as collaborative agreements, alliance agreements, and integrated project delivery (IPD) agreements and strategic projects). Ability to work in a dynamic environment, handle heavy volume of legal review requests and manage competing priorities. High degree of autonomy and excellent organizational and time‑management skills; ability to take initiative and work with minimal supervision. Must be eligible to work in Canada without sponsorship.
